2. Purpose
The Disclosing Party (Your Company) intends to share confidential information related to the design of custom knitwear with the Receiving Party (Knitwear OEM) to manufacture the specified clothing items based on the provided design.
3. Confidential Information
“Confidential Information” includes, but is not limited to, proprietary designs, specifications, sample materials, and any other information related to the production of custom knitwear.
4. Obligations of Knitwear OEM
The Receiving Party agrees to:
- Non-Disclosure: Keep all Confidential Information confidential.
- Use: Use the information solely for the purpose stated in this agreement.
- Security: Implement safeguards to protect the confidentiality of the information.
- No Copying: Prohibit copying, reproducing, or duplicating the information without prior written consent from the Disclosing Party.
- Ownership: Acknowledge that all drawings, files, documents, and materials provided by Your Company regarding the product have absolute ownership, intellectual property rights, etc. Knitwear OEM shall not use any information related to the product design for any purpose other than producing products for Your Company. Knitwear OEM is not authorized to use the product as mentioned earlier information for its own products or products produced on behalf of any third party.
5. Obligations of Your Company
Your Company agrees to:
- Accurate Information: Provide accurate and complete information, including but not limited to design specifications, tech pack details, Bill of Materials (BOM), and any other relevant materials necessary for the manufacturing process.
- Ownership Confirmation: Confirm that Your Company holds all the rights and ownership of the provided information, including drawings, files, documents, and materials related to the product. Your Company asserts that it has the authority to disclose and share such information with Knitwear OEM.
- Authorized Disclosure: Ensure that the information provided to Knitwear OEM does not infringe upon the intellectual property rights or confidential information of any third party.
- Limitations on Use: Specify any restrictions or limitations on how the confidential information can be used by Knitwear OEM for the sole purpose of manufacturing products based on the provided designs and specifications.
- Notification of Changes: Promptly inform Knitwear OEM of any changes or updates to the provided information that may impact the manufacturing process.
5. Exclusions
Certain information will not be considered confidential if it falls under specific exclusions, such as information becoming public knowledge or being independently developed by the Receiving Party.
